Notice Regarding Partial Share Transfer of Nextscape

(Headquarters: Minato Ward, Tokyo; President & CEO: Satoshi Kosugi; hereinafter, “Nextscape”) to ITEC Hankyu Hanshin Co., Ltd. (Headquarters: Fukushima Ward, Osaka; President & CEO: Yoshinobu Mizumoto; hereinafter, “Itec Hankyu Hanshin”).
Reason for the Share Transfer
JBS and Nextscape (hereafter, the “JBS Group”) have strengths in cloud solutions, including Microsoft technologies, and contribute to enhancing customers’ cloud capabilities and promoting digital transformation in society through a full range of support from consulting to solution implementation, operation, and utilization. Itec Hankyu Hanshin, a system integrator (SIer) belonging to the Hankyu Hanshin Toho Group, engages in system design, management, and IT infrastructure development across a wide range of industries, including transportation, real estate, distribution, healthcare, and sports & entertainment, contributing to digital transformation both within and outside the group. Going forward, by mutually leveraging the technological capabilities of Nextscape and Itec Hankyu Hanshin, the companies aim to develop new solutions that contribute to an even broader range of fields and drive business expansion.
Outlook
The impact of this share transfer on the financial results for the fiscal year ending September 2025 is expected to be minimal.
Nextscape will remain a consolidated subsidiary of JBS.
